Job Summary:
As an important member of the legal department, generally help manage and perform legal matters affecting the Biometrics Division of a NYSE-listed identification solutions company, as well as its affiliated companies.

Essential Job Functions:
Reporting to the Executive Vice President, Chief Legal Officer (located in Connecticut), supplement the efforts of the Senior Counsel of the Biometrics Division in managing all legal matters affecting such division including:

  • Drafting, reviewing and negotiating a wide variety of contracts, including confidentiality agreements, teaming agreements, license agreements, domestic and international distribution and supply agreements, OEM agreements, strategic partnership agreements, etc.
  • Managing ordinary course litigation and dispute resolution efforts
  • Interfacing with outside counsel
  • Other matters as identified from time to time.
  • Ability to provide top-quality, proactive, accurate and effective legal support to executives, managers and non-manager levels of the company in a fast moving environment.
  • Draw on education, training, experience and exceptional judgment to handle duties and responsibilities identified above.
  • Serve as risk manager to the division providing legal support to various departments including Sales, Marketing, Business Development, Engineering, Finance, Human Resources, Manufacturing and Customer Service.
  • Support due diligence and other transactional related projects as necessary or appropriate.

Knowledge Skills and Abilities Required:

  • Possess the skills, experience, and resourcefulness to drive and close a variety of transactions in a fast-paced environment.
  • Member of the Minnesota Bar.
  • Detail oriented.
  • Exceptional judgment.
  • Strong written and verbal skills.
  • Licensing experience is a must.
  • Patent exposure, employment law and/or corporate law experience is a plus.

Qualifications, Education and Experience:

  • Distinguished academic record with B.A. or B.S. from an accredited university and J.D from an accredited law school.
  • 5 – 10 years in a top law firm and/or dynamic in-house legal department.
